Terms and Conditions

Welcome to Ace In Place. These Terms and Conditions (“Terms”) govern your use of our website and our commercial and residential cleaning services throughout Oregon and Washington. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Purpose of Agreement

This Agreement formally establishes the working relationship between Ace In Place and the Client for the provision of professional janitorial and cleaning services. It sets expectations regarding duties, standards, operations, and legal compliance.


2. Term and Renewal

  • Initial term begins on [Start Date] and continues for [Term Length] months unless otherwise agreed.

  • Renewal may occur through mutual written agreement.

  • Either party may terminate with 30 days written notice. Payment for services rendered up to the termination date will be due.


3. Scope of Services

Services include routine and specialized cleaning tasks such as vacuuming, mopping, restroom sanitation, trash disposal, window cleaning, restocking supplies, and deep cleaning services as agreed in the service schedule.


4. Service Schedule

Services will follow an agreed-upon schedule to minimize disruption. Changes due to holidays, events, or emergencies must be documented and approved by both parties.


5. Changes to Services

Any modifications to services, schedules, or scope require written agreement between Ace In Place and the Client. Adjustments may affect pricing or staffing.


6. Payment Terms

  • Invoices are issued monthly and due within 15 days.

  • Late payments may incur a 10% monthly fee or the maximum allowed by law (whichever is lower).

  • Accepted payment methods include credit card, ACH transfer, PayPal, or Stripe.

  • Applicable taxes will be added unless Client provides a valid exemption certificate.


7. Supplies and Equipment

Ace In Place provides all necessary cleaning supplies and equipment, using eco-friendly, OSHA-compliant products where possible. Client-specific product requests must be agreed upon in writing.


8. Service Standards

We adhere to high standards of cleanliness, professionalism, and safety. Quality inspections are performed regularly. Corrective action will be taken if any performance deficiencies are identified.


9. Staff Training

All staff are trained in cleaning techniques, chemical handling, OSHA compliance, and equipment safety. Training records are available upon request.


10. Staffing and Supervision

We ensure adequate staffing levels with a dedicated supervisor as the primary point of contact. Staff will comply with Client security protocols and dress codes.


11. Performance Evaluations

The Client has the right to periodically evaluate our services. Ace In Place will promptly address and correct any deficiencies.


12. Legal Compliance

Ace In Place complies with all applicable Oregon and Washington state laws, including employment law, environmental regulations, labor standards, and safety codes.


13. Health and Safety

We use safe cleaning products and procedures to protect workers and building occupants. Emergency response plans and regular safety audits are implemented.


14. Responsibilities

  • Service Provider: Deliver quality services, supply necessary materials, maintain communication.

  • Client: Provide timely access to premises, communicate any issues promptly.


15. Refund/Redo Policy

If services do not meet agreed standards:

  • The Client must report concerns within 48 hours.

  • We will offer a free re-clean.

  • Refunds are discretionary if re-cleaning is declined, per review and documented evidence.


16. Subcontracting

Subcontracting requires prior Client consent. Ace In Place remains responsible for subcontractors’ quality and compliance.


17. Background Checks

All personnel undergo background screening before being assigned to Client sites. Verification records available upon request.


18. Record Keeping

Ace In Place maintains detailed service records and incident logs. Records are available to the Client upon reasonable request.


19. Performance Bond

A performance bond may be provided if requested, protecting Client interests against service non-fulfillment.


20. Client Feedback

We actively solicit and act on Client feedback to improve services, with periodic formal performance reviews.


21. Emergency Procedures

Comprehensive emergency protocols are in place for accidents, spills, and other critical incidents.


22. Staffing Continuity

Qualified replacement staff will be provided for absent employees, subject to the same training and vetting standards.


23. Cancellation Policy

Either party may cancel with 30 days written notice. Immediate cancellation is permitted for breach of contract or material failure to perform.


24. Independent Contractor Status

Ace In Place operates as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, joint venture, or agency relationship.


25. Confidentiality

Both parties shall protect all confidential information obtained during the course of services and shall not disclose it without prior consent.


26. Liability

Ace In Place is not liable for incidental, indirect, or consequential damages unless caused by gross negligence or intentional misconduct.


27. Indemnification

Both parties agree to indemnify and hold each other harmless against third-party claims arising from negligence or misconduct.


28. Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any others. All waivers must be in writing.


29. Termination

Upon termination, all outstanding payments become immediately due, and any Ace In Place equipment or materials must be returned promptly.


30. Governing Law and Jurisdiction

This Agreement is governed by the laws of Oregon and Washington. Venue for any legal disputes shall lie in the courts located in Clark County, Washington.


31. Entire Agreement

This document constitutes the entire agreement between Ace In Place and the Client, superseding all prior negotiations and communications.


32. Severability

If any provision is found unenforceable, the remainder of the Agreement remains in full effect.


33. Counterparts

This Agreement may be executed electronically and in counterparts, all of which together constitute one binding Agreement.


34. Force Majeure

Neither party shall be liable for failure to perform due to causes beyond their control, including natural disasters, labor strikes, or governmental actions.
